1. Overview & Acceptance of Terms
This website is operated by American Fixture Warehouse (“AFW,” “we,” “us,” or “our”). By accessing or using this website, registering for an account, requesting a quote, or purchasing products from AFW, you agree to these Terms of Service.
These Terms apply to use of our website and purchases made directly from AFW unless otherwise agreed to in writing.
2. Wholesale Eligibility & Account Use
AFW is a wholesale supplier serving qualified distributors, resellers, and other approved business customers. We do not sell directly to end users.
Account approval may require business information, a valid resale certificate, or other documentation reasonably requested by AFW.
Customers are responsible for maintaining accurate account information and for activity conducted through their account. Account access may not be transferred or shared with unauthorized parties.
AFW reserves the right, subject to applicable law, to approve, decline, suspend, or close wholesale accounts when necessary to protect our business, customers, or website.
3. Orders, Pricing & Availability
All orders are subject to AFW acceptance, product availability, and payment verification.
We make reasonable efforts to maintain accurate pricing and inventory information; however, prices, availability, specifications, and product offerings may change without notice.
Submission of an order, purchase order, or online request does not guarantee product availability until the order has been confirmed by AFW.
If an error in pricing, availability, or order information is identified before shipment, we will contact the customer to review the available options before proceeding.
4. Payment & Taxes
Payment is required prior to shipment unless approved credit terms or other payment arrangements have been established with AFW.
ACH is our preferred payment method. A 3% surcharge applies to credit card payments, subject to applicable law and card network rules.
Accepted payment methods and payment instructions will be provided on the applicable quote, invoice, or other order documentation.
Customers claiming tax-exempt status are responsible for providing a valid resale certificate or other applicable exemption documentation. Until valid documentation is received and accepted, applicable sales tax may be charged.
Customers are responsible for ensuring that payments are submitted using accurate payment and account information.
5. Product Information
We make reasonable efforts to provide accurate product descriptions, dimensions, specifications, images, and other product information.
Minor variations in color, finish, dimensions, packaging, or manufacturing details may occur between production runs and may not be reflected immediately on the website.
Product images are provided for general reference. Screen settings, lighting, and production variations may affect the appearance of colors and finishes.
If a specific dimension, specification, finish, or compatibility requirement is critical to your order, please confirm it with AFW before purchasing.
6. Shipping, Pickup & Returns
Shipping, freight quotes, customer-arranged transportation, local pickup, delivery inspection, freight damage, returns, refunds, and related charges are governed by our current Shipping & Return Policy.
Customers are responsible for providing accurate shipping and delivery information and for reviewing applicable freight and delivery requirements before shipment.
By placing an order with AFW, you acknowledge and agree to the Shipping & Return Policy applicable to that order.
7. Billing, Shipping & Account Information
Customers are responsible for providing current, complete, and accurate billing, shipping, contact, and account information for all orders.
Please notify AFW promptly of any changes that may affect an order, including changes to the delivery address, receiving requirements, contact information, or billing information.
Additional costs resulting from incorrect or incomplete shipping or delivery information may be the responsibility of the customer as described in our Shipping & Return Policy.
8. Website Use & Intellectual Property
The content of this website, including text, images, graphics, logos, product information, page designs, and other materials, is owned by or licensed to AFW and may not be copied, reproduced, distributed, or commercially exploited without prior written permission, except as permitted by applicable law.
Approved wholesale customers may request permission to use certain AFW product images, descriptions, or product information for the purpose of marketing and reselling AFW products. Such use must be approved by AFW in advance and does not transfer ownership of the content or grant permission to use AFW trademarks, logos, or other branding unless specifically authorized.
You may not misuse the website, attempt unauthorized access to our systems, interfere with website operation, or use the website for unlawful purposes.
9. Limitation of Liability
To the fullest extent permitted by applicable law, AFW will not be liable for indirect, incidental, special, punitive, or consequential damages arising from the use of this website or the purchase or use of our products, including loss of profits, revenue, business opportunities, or other similar losses.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
Shipping damage, returns, refunds, and replacement merchandise are subject to the applicable provisions of our Shipping & Return Policy.
10. Governing Law
These Terms of Service and any dispute arising from your use of the website or purchase of products from AFW will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where otherwise required by applicable law.

Your continued use of the website after changes are posted constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

AFW may, at its discretion, make exceptions or accommodations in individual cases. Any exception or accommodation provided in a particular case does not waive these Terms or create an obligation to provide the same exception in future transactions.
